1. The Agreement
By creating an account or using our services at getprivaro.com, you agree to these Terms and our Privacy Policy.
2. Your Account
Eligibility: You must be a business entity or an individual 16 years or older acting on behalf of a business.
Accuracy: You agree to provide accurate registration and billing information.
Security: You are responsible for keeping your account password safe and for all activity that occurs under your account.
3. Using Our Services
License: We grant you a limited, non-exclusive license to use our services (Consent Management, Trust Badge, API, etc.) as part of your subscription.
Restrictions: You may not misuse our services. This includes no reverse-engineering, attempting to disrupt the service, or using it for any illegal purpose.
4. Your Responsibilities
Legal Compliance: You are responsible for using Privaro in a way that complies with all applicable laws, including data privacy laws.
Prohibited Data: You agree not to submit any sensitive personal data (as defined in GDPR Article 9, like health or biometric data) to our services. This is a critical requirement.
Configuration: You are responsible for configuring and implementing Privaro on your digital properties.
5. Fees & Payments
Subscription: Our services are billed on a subscription basis via our payment processor, Stripe.
Payment: You will be billed in advance on a recurring basis. You are responsible for all applicable taxes.
Changes: We reserve the right to change our fees with prior notice.
Refunds: All fees are non-refundable except where required by law.
6. Ownership & IP
We Own Privaro: We retain all rights, title, and interest in our website, software, trademarks, and content.
You Own Your Data: You retain all ownership rights to the data you submit to the services.
7. Data, Privacy & Sub-processors
Privacy: Our Privacy Policy and Data Processing Agreement (DPA) are part of this agreement and govern how we handle data.
Sub-processors: We use third-party service providers (like AWS and Stripe) to help us operate.
8. Termination
By You: You can terminate your subscription at any time.
By Us: We may suspend or terminate your account if you breach these Terms, fail to pay fees, or misuse the service.
After Termination: You are responsible for exporting your data. We will delete your data according to the timelines in our DPA.
9. Liability & Disclaimers
“As Is”: We provide our services “as is” without any warranties.
Limitation of Liability: To the maximum extent permitted by law, Privaro’s total liability to you will be limited to the amount you paid us in the 12 months before the claim arose. We are not liable for any indirect or consequential damages.
10. Indemnification
You agree to indemnify and hold Privaro harmless from any claims, damages, or expenses arising from your unlawful use of the services or your breach of these Terms.
11. Governing Law & Disputes
The laws of Ireland govern these Terms. Any disputes will be subject to the exclusive jurisdiction of the courts of Dublin, Ireland.
12. Changes to These Terms
We reserve the right to update these Terms from time to time. The revised version will take effect on the date it is posted. For material changes, we will provide at least 30 days’ prior notice by email or via your account. Your continued use of the services after the effective date constitutes acceptance of the revised Terms.
13. Force Majeure
We are not responsible for delays or failures caused by events outside our reasonable control, including internet or hosting outages, strikes, or natural disasters.
